As such, the copyrights in those works shall belong to ZFM ALLIANCE SARL from their creation. Thus, ZFM ALLIANCE SARL shall be deemed the author and exclusive owner thereof and shall have the right to exploit any or all of the results and proceeds in any and all media, now known or hereafter devised, throughout the universe, in perpetuity, in all languages, as ZFM ALLIANCE SARL determines.In the event that any of the results and proceeds of your submissions hereunder are not deemed a “work made for hire” under Section 101 of the U.S. Copyright Act, as amended, or equivalent provisions under French law, you hereby, without additional compensation, irrevocably assign, convey, and transfer to ZFM ALLIANCE SARL all proprietary rights, including without limitation, all copyrights and trademarks throughout the universe, in perpetuity in every medium, whether now known or hereafter devised, to such material and any and all right, title, and interest in and to all such proprietary rights in every medium, whether now known or hereafter devised, throughout the universe, in perpetuity. Any posted material which are reproductions of prior works by you shall be co-owned by us. You acknowledge that ZFM ALLIANCE SARL has the right but not the obligation to use and display any postings or contributions of any kind and that ZFM ALLIANCE SARL may elect to cease the use and display of any such materials (or any portion thereof), at any time for any reason whatsoever.

Therefore, you acknowledge and agree that this clause is also compliant with applicable French intellectual property law (Code de la Propriété Intellectuelle). In the event that the contribution is not deemed a 'work made for hire' under U.S. or French law, you hereby irrevocably assign all proprietary rights, including copyrights and trademarks, to ZFM ALLIANCE SARL.

Payment & Refund

Membership fees are specified on the Platform. Payment processing is handled by a third-party payment processor. The Company is not liable in any way for any issues arising out of the payment processing services provided by such party payment processor.

In accordance with Article L221-18 of the French Consumer Code, you have a legal right to withdraw from any membership purchase within 14 days of completing your registration and payment, without providing any reason. To request a refund, please contact us at help@zfmalliance.com. Refunds will be processed within 14 days of receiving your request.

User Content

You represent that you are at least 18 years of age to create an account or make a purchase through the Site. User Code Of Conduct

Governance Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of France. Any disputes arising out of or relating to these Terms and Conditions, including their validity, interpretation, or enforcement, shall be subject to the exclusive jurisdiction of the courts of Paris, France.

Limitation Of Liability

To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other tangible or intangible losses, resulting from: (a) your access to or use of, or inability to access or use of, the Services; (b) any conduct or content of any party (including, those stemming from third-party impersonators, scams, hackings, etc.) other than the Company, including without limitation, any defamatory, offensive, or illegal conduct; or (c) unauthorized access, use, or alteration of your content or information.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under French law.

Force Majeur

We shall not be held liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to strikes, natural disasters, pandemics, government restrictions, or cyberattacks, in accordance with Article 1218 of the French Civil Code.
